Wellspring Financial LLC DBA “Spark Rental” (“Spark Rental”) and any of its subsidiaries, founders, contractors or employees, whether through its website, social media outlets, and/or any of its other products or services, directly or indirectly, does not or will not engage in the business of advising you (or others) as to the value, the advisability of investing in, purchasing, or selling real estate or any other investments, provided, or proposed by syndicators.

Additionally, the founders of “Spark Rental “are club members themselves and like all other members are essential parts of the club; building relationships, expressing thoughts, voting, and deciding whether or not to invest in the various investments as a group or individually.

Wellspring Financial DBA Spark Rental, its founders and employees are not attorneys, accountants, or your financial advisor. It is strongly suggested that all members consult with their own licensed professional before making any investment decision. All information provided is personal opinion only, and does not constitute professional, financial, tax, legal or other advice.

Spark Rental Investment Club (“Club Membership”) provides the benefits of routine meetings, discussions, and communication. These may be virtually through Zoom, Google, or other venues similar. They also include email and text and other communication methods as available.

As a member, you remain solely responsible for all decisions regarding any purchase and sale of any offering including real estate investments. This includes the suitability, profitability, or appropriateness for you of any investment, financial product, investment strategy and all other matters related to your investments and investment strategies.

CONFIDENTIALITY

All information spoken of and/or provided in or about the Club is 100% confidential and you must agree not to disclose it to anyone. (Certain exceptions can be made for your legal or financial advisors who have a need to know and take certain precautions to protect the information.)

INVESTMENTS RISKS

By joining the Spark Rental Investment Club, you fully acknowledge and understand that all investments carry risks including possible loss of principal. We encourage our club members to invest carefully. We also encourage members to get personal advice from your professional investment advisor and to make independent investigations. Past performance is not necessarily indicative of future results. All investments carry risk and all investment decisions of an individual remain the responsibility of that individual. There is no guarantee that any investment will result in profits. Risks include not just loss of capital but also a capital call or share dilution by the sponsor.

IMPORTANT

Do not enter any investment without fully understanding the worst-case scenarios of that investment!

CLUB MEMBERSHIP

“Club Membership” can be on a monthly basis or annually. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). The “Billing Cycle” is set either on a monthly or annual basis, depending on the type of “Club Membership” you select. At the end of each “Billing Cycle,” your “Club Membership” will automatically renew under the exact same conditions unless you or “Spark Rental” cancels it.

Club Membership fee may change will become effective at the end of the then-current Billing Cycle. You will be provided with reasonable prior notice of any change in Membership fees to provide you an opportunity to terminate your Membership before such change becomes effective.

Wellspring Financial DBA Spark Rental reserves the right to terminate a club member if, in its sole opinion, the Member is abusing the service.

CLUB MEMBERSHIP CANCELLATION

If, for any reason, you are not 100% satisfied with your “Club Membership””, you may cancel for a refund within 30 days of joining by emailing [email protected]. 

You completely understand and acknowledge that if you are an “Active Member” to any “Particular Club,”

PAUSING CLUB MEMBERSHIP

Pausing “Club Membership” is not permitted. Pausing a “Club Membership” is when a member cancels or requests to cancel billing on a temporary basis and then resumes at a later time. Members may only cancel and rejoin the Club once in a given 12-month period. During that time no “Club Membership” activities will be permitted.

 LLC EXPENSES AND COSTS

Expenses. It is known and accepted that each and every LLC that is active and invested with a Syndication Partnership will incur costs such as Business formation, accounting, and administration.

Let it also be known and understood that each and every member (“Active Member”) of an active club LLC (“Particular LLC”) shall be responsible for its own fees and expenses incurred in connection with accounting, company formation and any other administrative or legal costs. Thereby all costs and expenses incurred shall be paid by each LLC Member at an annual charge of $75. (“routine administrative cost”). Furthermore, it is understood and acknowledged that any costs other than routine such as legal fees will be split evenly between all members of the particular LLC.

If accounting, business formation and/or administrative costs increase, The LLC Expense Annual Charge may change to cover these costs. If so, the increase will become effective at the end of the next Billing Cycle. You will be provided with reasonable prior notice of this change.

Failure to Pay. Without prejudice to any other right or remedy that it may have, if any member fails to pay (“Non-Paying Member”) the “administrative cost” on or before the due date, all Members of that specific LLC agree that:

A deduction will be made from the “Non-Paying Member’s incoming contributions until payment has been made in full and the “Non-Paying Member” will be removed as an active Member from the club.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless Wellspring Financial DBA Spark Rental and its Founders, employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your membership by you or any person using your account and password; b) a breach of these Terms, or c) Content or information provided via a meeting, podcast, email, written blog or article or any other means.

As more fully set forth herein, Wellspring Financial DBA Spark Rental, and its directors, officers, employees, agents, and affiliates, make no representation, warranty, or guaranty as to the validity, adequacy, timeliness, accuracy, reliability or completeness of any data, content, or information. You should independently analyze, review, and confirm any such data, content, or information.

Wellspring Financial LLC may express or utilize testimonials or descriptions of past performance, but such items are not indicative of future results or performance, or any representation, warranty, or guaranty. Your results may differ materially from those expressed or utilized by Wellspring Financial LLC DBA Spark Rental, due to a number of factors.

EXCLUSIONS

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Pennsylvania, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

CONTENT

 The content and information provided by “Spark Rental,” its website, social media outlets, meeting in addition to other products and services is solely informational.

By joining the club, you acknowledge and understand that you have read and agree to these terms and conditions.

ENFORCEABILITY

 If any of the provisions of these Terms and Conditions are found to be unenforceable, the remainder shall be enforced as fully as possible, and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement as a whole.

 “Spark Rental” reserves the right to change Terms and Conditions at any time.
